Terms of Service

These Terms of Service (“Terms”) govern your access to and use of any Snaply application (each an “App,” together the “Apps”) provided by Emerg Labs, based in Wyoming, USA (“we,” “us,” or “our”). By installing or using an App, you agree to these Terms. The Apps are licensed and billed separately; these Terms apply to each of them individually.
1. Eligibility
You must have an active Shopify store and the authority to bind that store to these Terms. Use of the Apps is also subject to Shopify's own terms and policies.
2. The services
Each App does a different job:
- Snaply: Easy Bundle Upsell — tools to create and display bundles, discounts, upsells, and cart goal bars on your Shopify storefront.
- Snaply: Product Feeds — tools to generate product feeds from your catalogue and deliver them to third-party advertising and shopping channels, including Google, Meta, and TikTok.
We may add, change, or remove features over time, and we may release further Apps under these Terms. Features described as “upcoming” or “coming soon” are not guaranteed and may change or be withdrawn.
3. Plans, billing, and trials
- Paid plans are billed through Shopify's Billing API according to the plan you select. Prices are shown in the App and on our website.
- Each App is billed separately. A subscription to one App grants no entitlement in another.
- Plan limits differ by App. Snaply: Easy Bundle Upsell is subject to a monthly cap on revenue attributed to its offers. Snaply: Product Feeds is subject to limits on the number of active feeds and catalogue variants. Exceeding a limit may require moving to a higher plan.
- New stores may receive a one-time free trial. After the trial, paid features require an active subscription.
- Charges are non-refundable except where required by law or expressly stated. You can cancel at any time by uninstalling the App; cancellation stops future charges.
4. Your responsibilities
- You are responsible for the offers, prices, and discounts you configure, and for their compliance with applicable law (including consumer-protection and advertising rules).
- You are responsible for the accuracy of the product data you publish through a feed, and for its compliance with the policies of the channel you send it to.
- You must not use an App to violate any law, infringe third-party rights, or transmit malicious code.
- You are responsible for maintaining the security of your Shopify account, and of any feed URL an App generates for you.
5. Third-party channels
Snaply: Product Feeds sends your product data to third-party channels that you choose and connect, such as Google, Meta, and TikTok. Those channels are independent of us:
- Your use of each channel is governed by that channel's own terms and policies, which you are responsible for reading and following.
- Each channel decides on its own whether to accept, reject, or remove your products, and whether to suspend your account there. We do not control those decisions and are not liable for them, including for lost sales or advertising spend arising from a rejection or suspension.
- A channel may change its feed specification, its API, or its policies at any time. We aim to keep pace with such changes but cannot guarantee uninterrupted compatibility.
- Revoking an App's access from within the channel, or disconnecting the channel in the App, stops further data being sent to it.
6. Intellectual property
We retain all rights, title, and interest in the Apps, including their software, design, and branding. These Terms grant you a limited, non-exclusive, non-transferable license to use an App while your subscription to it is active. You retain ownership of your store's data and content.
7. Data
Our handling of data is described in our Privacy Policy, which forms part of these Terms.
8. Product analytics and support chat
- We use Mixpanel to measure how the Apps are used — installs, plan changes, which features are configured, and revenue attributed to your offers. These events are shop-level and are sent from our servers, not from your browser.
- The Apps include a tawk.to live chat widget in the admin interface so you can reach support. It is third-party software loaded in your browser and governed by tawk.to's own terms and privacy policy in addition to these Terms.
- You can opt out of analytics from within the App. Doing so stops analytics events being sent and stops your store being identified to the chat provider. The chat widget itself remains available, because being able to contact support is not analytics.
- Support conversations may be retained so that we can follow up on an issue and improve the Apps. Please do not send credentials, card numbers, or customer personal data through chat — we never need them to help you.
9. Service availability
We aim for high availability but do not guarantee the Apps will be uninterrupted or error-free. We may perform maintenance, and we are not liable for downtime caused by Shopify, hosting providers, or events beyond our reasonable control.
10. Disclaimers
The Apps are provided “as is” and “as available,” without warranties of any kind, express or implied, to the maximum extent permitted by law. We do not warrant that using an App will increase your sales or revenue.
11. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Our total liability for any claim relating to an App will not exceed the amount you paid us for that App in the three (3) months preceding the claim.
12. Termination
You may stop using an App at any time by uninstalling it. We may suspend or terminate access if you breach these Terms or use an App in a way that risks harm to us, Shopify, or others.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Continued use of an App after changes take effect constitutes acceptance.
14. Governing law
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. Disputes will be resolved in the courts located in Wyoming, USA.
